The Company Secretary (CS) plays a crucial role in managing and overseeing Corporate Social Responsibility (CSR) activities within an organization. Their responsibilities typically include:

Compliance and Governance: Ensuring that the company complies with the legal requirements related to CSR as stipulated under relevant laws and regulations (e.g., Section 135 of the Companies Act, 2013 in India).

CSR Policy Development: Assisting in the formulation and review of the company’s CSR policy, ensuring it aligns with legal requirements and the company's values and objectives.

Board and Committee Support: Providing support to the Board of Directors and CSR Committee by organizing meetings, preparing agendas, and maintaining records. The CS also ensures that the CSR Committee’s recommendations are communicated to the Board.

Budget and Financial Oversight: Monitoring the allocation of the CSR budget and ensuring that the funds are utilized as per the approved plan. The CS also ensures that accurate records of CSR expenditures are maintained.
